Veil Jourde, advisor to Nertus on the sale of Mecalac to Fayat Group

Veil Jourde is advising Nertus, majority shareholder in the Mecalac group, on the sale of 100% of Mecalac’s shares to FAYAT, France’s leading independent construction group and world leader in road construction equipment.
Based in Annecy, France, Mecalac offers a wide range of compact and innovative construction equipment for urban sites – excavators, loaders, dumpers and backhoe loaders – designed and manufactured in production units located in France, Germany, England and Turkey.
With this operation, Mecalac joins FAYAT’s Road Construction Equipment Division as a premium brand, while retaining its autonomy, bringing to 29 the number of the Division’s production sites spread across Europe, Asia and the Americas.
This integration opens up new development prospects for Mecalac, which now benefits from the technological and industrial support of the entire FAYAT Group, with sales of 5.7 billion euros by 2024 and more than 23,000 employees working in 230 subsidiaries worldwide.
Nertus, owned by Henri, Emmanuelle and Alexandre Marchetta, was advised on the tax aspects of this transaction by Veil Jourde, with Benoît Gréteau, partner and Charlotte Martinez, associate.
