Veil Jourde advises Covivio in the takeover of its subsidiary Covivio Hotels

Veil Jourde advises Covivio, a listed real estate company, in the takeover of its hotel subsidiary, Covivio Hotels, thanks to the purchase of Generali’s stake.
This acquisition of 8.3% of the capital of Covivio Hotels – 313 establishments and 6.4 billion euros in assets – allows it to now hold 52.2% of the capital and voting rights of its subsidiary, and to increase its exposure to the hotel industry at 20% (compared to 17% in 2023).
This operation marks a major step in its strengthening in this growing asset class, and is extended by the launch of a public exchange offer on the balance (OPES) of the capital of Covivio Hotels (47.8%).
In this transaction, Covivio was advised by the Veil Jourde firm, with François de Navailles and Vincent Ramel, partners, Paul Nanty, lawyer, on the corporate aspects; Benoît Gréteau, partner, on tax aspects; Pauline Larroque-Daran, partner, and Marine Guille, lawyer, on aspects of social law.
